By accessing or using BuildOpenings.com(the “Site”) or any services offered through the Site (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services.

These Terms constitute a legally binding agreement between you and BuildOpenings LLC(“Company,” “we,” “us,” or “our”). By creating an account, submitting content, or using any paid features, you confirm that you have the legal authority to enter into this agreement, and if acting on behalf of a business, that you have authority to bind that business.

BuildOpenings.com is an industry-focused marketplace and directory platform serving the window, door, and architectural opening industry. Our Services include:

• A searchable directory of manufacturers, contractors, suppliers, distributors, and architecture firms
• A project lead database aggregated from public sources and user submissions
• Product listings, certification profiles, and industry resources
• Blog content, glossary terms, and educational materials
• Subscription-based access to premium lead data and directory features
• Tools for contractors and businesses to manage their public profile

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We are not liable for any modification, suspension, or discontinuation.

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at legal@buildopenings.com if you believe your account has been compromised. We are not liable for any loss or damage arising from unauthorized use of your account.

You may not share your account credentials, create accounts for others without authorization, or use automated means to create accounts. We reserve the right to terminate or suspend accounts that violate these Terms or that have been inactive for an extended period.

Certain features of the Services require a paid subscription (“Subscription”). Subscriptions are billed on a recurring monthly or annual basis as selected at checkout. All fees are stated in US dollars and are non-refundable except as expressly stated in these Terms or required by applicable law.

By providing a payment method, you authorize us (or our payment processor) to charge you the applicable Subscription fee on a recurring basis until you cancel. Prices are subject to change with at least 30 days prior notice to your registered email address.

You may cancel your Subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to Subscription features through the end of the paid period. We do not issue prorated refunds for partial billing periods.

If a payment fails, we may suspend your access to premium features until payment is resolved. We reserve the right to terminate Subscriptions that remain unpaid after a grace period.

The Services allow you to submit content including project listings, company profiles, business information, photos, and other materials (“User Content”). By submitting User Content, you grant BuildOpenings LLCa worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, distribute, and otherwise exploit that content in connection with operating and promoting the Services.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe any third-party intellectual property, privacy, or other rights; (c) the User Content is accurate and not misleading; and (d) the User Content does not violate any applicable law or regulation.

We reserve the right to review, remove, or modify any User Content at our sole discretion, including content that we determine violates these Terms, is inaccurate, or is otherwise objectionable. We do not guarantee that all submitted content will be published or approved.

Company and professional profiles on BuildOpenings.com may be created by us using publicly available information, or claimed and managed by the business entity itself. If you claim a profile, you are responsible for keeping all information accurate and up to date.

Listings are provided for informational and directory purposes only. We do not endorse, certify, or guarantee the quality, safety, or suitability of any listed company, product, or service. You are solely responsible for evaluating any business or professional before entering into any transaction or engagement with them.

We reserve the right to remove or modify any listing that we determine to be inaccurate, misleading, or in violation of these Terms, at our sole discretion and without prior notice.

Project lead data available through the Services is aggregated from publicly available sources, user submissions, and licensed third-party data providers. We make reasonable efforts to ensure the accuracy and timeliness of this data, but we do not warrant that all project information is current, complete, or accurate.

Project lead data is provided for business development and informational purposes only. You may not resell, redistribute, or sublicense lead data obtained through the Services to any third party without express written permission from us.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right
• Scrape, crawl, or systematically extract data from the Site without prior written consent
• Transmit spam, unsolicited communications, or malicious code
• Impersonate any person or entity, or falsely claim an affiliation
• Interfere with or disrupt the Services, servers, or networks connected to the Services
• Attempt to gain unauthorized access to any part of the Services or other users' accounts
• Post or transmit content that is defamatory, obscene, fraudulent, or otherwise objectionable
• Use the Services for competitive intelligence gathering in a manner that violates these Terms
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Services

All content, features, functionality, and design elements of the Services — including but not limited to text, graphics, logos, icons, images, data compilations, and software — are the property ofBuildOpenings LLC or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not copy, reproduce, distribute, modify, create derivative works of, or commercially exploit any part of the Services without our express written permission.

The BuildOpenings.com name, logo, and related marks are trademarks of BuildOpenings LLC. You may not use our trademarks without prior written approval.

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

The Services may contain links to third-party websites or integrate with third-party services. These links are provided for convenience only. We do not endorse, control, or assume any responsibility for the content, privacy practices, or policies of any third-party sites or services. Your use of third-party services is at your own risk and subject to their respective terms.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no warranty regarding the accuracy, completeness, reliability, or timeliness of any content, project data, directory listings, or other information available through the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDOPENINGS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless BuildOpenings LLCand its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services immediately ceases.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. If changes are material, we will provide notice via email or a prominent notice on the Site. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If that fails, disputes shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, with proceedings held in Maricopa County, Arizona.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign your rights under these Terms without our prior written consent.
